Terms of Service

Welcome to Ad King (referred to as “The Company,” “we,” or “us”). These Terms of Service (“Terms”) govern your use of our websites, applications, tools, consultations, website design, hosting, and all related services (collectively, the “Services”).
By using our Services, you agree to these Terms, our Privacy Policy, and our Acceptable Conduct Policy (together, the “Agreement”). If you represent an organization, you confirm that you have the authority to bind it to this Agreement.
We’ve kept this document straightforward, but it contains important information about payments, renewals, liability limits, and dispute resolution. Please review carefully. Questions? Email support@adking.ca
- Scope of Services
We provide professional services, including but not limited to:
- Marketing consultations and strategy development
- Website design, development, and hosting
- Copywriting and editorial services
- Search engine optimization (SEO)
- Branding and marketing campaigns
- Project management and execution
Specific project details will be defined in Statements of Work (SOWs) or proposals. These Terms apply to all services unless superseded by a separate Master Service Agreement (MSA) signed within the last 12 months.
- Accounts and Eligibility
2.1 Account Creation
You may be required to create an account with accurate and up-to-date information. You are responsible for safeguarding your login credentials and notifying us immediately of unauthorized use.
2.2 Eligibility
You must be at least 18 years old (or 13 with parental/guardian consent) to use our Services.
- Pricing and Payments
3.1 Standard Rates
Our standard hourly rate is $200/hour unless otherwise agreed in writing. This rate applies to consultations, strategy, design, development, and other project work.
3.2 Hosting Plans
- Basic Maintenance & Security Package: $199/month – essential hosting, security, updates.
- Unlimited Package: $499/month – includes unlimited updates and support requests (excludes redesigns, new page builds, or e-commerce setup).
Hosting fees are billed monthly or annually in advance and are non-refundable once the billing period begins.
3.3 Retainers
Retainer agreements are billed monthly in advance. Unused hours do not roll over. Early termination requires 30 days’ written notice, and fees for the current month remain non-refundable.
3.4 Custom Projects
Custom project fees will be set in the applicable SOW or proposal. Scope changes may result in additional fees at our hourly rate.
3.5 Late Payments
- Invoices not paid by the due date will incur a 2% monthly late fee (non-compounding).
- Failure to maintain valid payment information is considered non-payment.
- If your account is overdue by more than 30 days, we may suspend Services until your balance is cleared.
3.6 Automatic Renewals
Subscription Services (hosting, retainers, etc.) automatically renew each term unless canceled with 30 days’ written notice. We’ll send a renewal reminder email 15 days prior to the renewal date.
3.7 Refunds
Payments for completed work, billed subscription periods, or hosting services are non-refundable. We may offer refunds at our discretion in exceptional cases.
3.8 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying any taxes unless you provide a valid exemption.
- Ownership and Intellectual Property
4.1 Customer Content
You retain ownership of any content you provide. You grant us a license to use, modify, and display this content as needed to provide the Services.
4.2 Deliverables
All content we create (websites, graphics, marketing materials, etc.) remains our property until full payment is received. After payment, you are granted a perpetual license to use these materials for your business.
4.3 Hosting Transitions
If you cancel hosting, we will assist with migration to another provider for a transition fee of $750 – $2000 depending on site size/complexity. All outstanding invoices must be paid before migration.
- Customer Responsibilities
You agree to:
- Provide accurate information and necessary access promptly.
- Approve deliverables in a timely manner.
- Maintain valid payment information and ensure all invoices are paid on time.
- Comply with all applicable laws and our Acceptable Conduct Policy.
Delays caused by your failure to provide information or approvals may extend timelines and result in additional fees.
- No Guarantee of Results
We will use reasonable efforts to perform Services professionally. However, we do not guarantee specific outcomes, including but not limited to: sales growth, search rankings, or leads.
- Privacy and Data Protection
We collect and use personal information per our Privacy Policy. By using our Services, you consent to this policy.
- Liability and Indemnification
8.1 Limitation of Liability
To the maximum extent allowed by law, our liability is limited to the total fees you paid to us in the three months preceding any claim. We are not liable for indirect or consequential damages.
8.2 Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your content, your actions, or any violation of these Terms.
- Termination
9.1 By You
You may terminate Services with 30 days’ written notice.
9.2 By Us
We may suspend or terminate Services immediately for non-payment or material breach. Outstanding fees remain due even after termination.
- Dispute Resolution
Any dispute arising from these Terms will be resolved through binding arbitration held virtually or in Hays County, Texas. You waive any right to participate in class actions.
- Modifications
We may update these Terms at any time. Changes will be communicated via email or on our website. Continued use of our Services constitutes acceptance.
Plain-English Summary
- You pay on time, we deliver the work.
- If you’re late, there’s a reasonable late fee and possible suspension.
- If you leave, we’ll help you transition but charge a fair migration fee.
- We don’t promise exact results (marketing is unpredictable).
- Both sides treat each other honestly and professionally.
